Liability: Customer acknowledges that Conexim Australia Pty. Ltd. (referred to as 'Conexim') is not liable for any act or omission of any other company or companies furnishing a portion of any service to the Customer and shall be indemnified and held harmless by the customer against all claims for liable, slander, infringement of copyright or unauthorized use of trademark, trade name, or service mark arising out of the material, data, information, or other content provided by Customer for the development and or installation of the Customers Web Site. Conexim is not liable for any acts or claims made by independent authorized Consultants. Conexim makes no expressed or implied warranty of any kind in regard to these services. Service is rendered on an "as is" basis, without any other warranties, or conditions, express or implied, including but not limited to warranties for merchantable quality, merchantability, or fitness for a particular purpose, or those arising by law, statute, usage of trade, or course of dealing. The Internet is a very large, unreliable network. Some parts of the Internet will be not working at any given time, and this is outside Conexim's control. Customer accepts that faults will occur from time to time and that Conexim is not liable for any faults experienced in the Conexim network or the public Internet. If a fault occurs within the Conexim network, we fix it as soon as possible. By using the Conexim service, the Customer accepts to be bound by these Terms and Conditions.

Billing: Customer agrees to payfor, and Conexim Australia Pty. Ltd. agrees to provide services for whichinvoices are issued. Network traffic in excess of the monthly allowancefor the chosen plan will be charged at the rate of $16.50/GB, unless otherwise agreed contractually.

Cancellation: Conexim Australia Pty. Ltd. may discontinue hosting or cancel production for a service without incurring any liability for any of the following reasons:

  1. Non-payment of any sum due to Conexim Australia Pty. Ltd. for service.
  2. A violation of any law, rule or regulation of any governing authority having jurisdiction over the service.
  3. By order of a court or other governmental or quasi-governmental authority having such jurisdiction.
  4. The Customer provides false or misleading credit information.

Termination: Service termination and account closure.

  1. For Convenience. Customer may terminate the Service by giving Conexim Australia Pty. Ltd. at least 5 working days written notice before the end of abilling term. The minimum billing term is one (1) month. If Customer gives less than 5 working days notice then Customer will be billed for an additional billing term. Conexim Australia Pty. Ltd. mayterminate any Service Order by giving at least thirty (30) days prior written notice of the date of termination ofServices. All amounts due from the Customer for the account to which the Service relates must be paid in order for Customer to terminate the Service and/or close the account.
  2. For Cause. Either party will have the right to terminate this Agreement if:
    • (ii) the other party becomes the subject of a voluntary petition in bankruptcy or any voluntary proceeding relating to insolvency, receivership, liquidation, or composition for the benefit of creditors; or
    • (iii) the other party becomes the subject of an involuntary petition in bankruptcy or any involuntary proceeding relating to insolvency,receivership, liquidation, or composition for the benefit of creditors, if such petition or proceeding is not dismissed within sixty (60) days of filing.

Marketing: Customer agrees that Conexim Australia Pty. Ltd. may refer to Customer by trade name and trademark, and may briefly describe Customer's Business, in Conexim'smarketing materials and web site.
